现代公司的产生,极大地促进了资本主义经济的发展。在探究公司制度保持持久生命力的原因的时候,经济学家可能更为关注如何提高公司的运作效率。实际上,只有不断提高公司的运作效率,才能使公司制度的特点更好地发挥出来。于是公司治理问题便首先进入了经济学家的视野,因为良好的公司治理机制是保障公司高效率运作的重要基石。而公司治理中所涉及的众多利益相关者之间的利益制衡机制的构架,则是法学家一直考虑的课题。因此,公司治理问题自始便是一个令经济学家和法学家所共同关注的问题。在这种共同关注之下,公司治理结构研究便有了双重维度的标准,一是法学家的标准——公平,二是经济学家的标准——效率。
The emergence of modern companies has greatly promoted the development of the capitalist economy. Economists may be more concerned with how to improve the efficiency of a company’s operations in exploring the reasons why the company’s system can maintain its long-term viability. In fact, only by constantly improving the operational efficiency of the company can the characteristics of the corporate system be brought into full play. So the problem of corporate governance first entered the economist’s field of vision, because a good corporate governance mechanism is an important cornerstone to ensure the efficient operation of the company. The structure of the mechanism of checks and balances of interests among the many stakeholders involved in corporate governance is a topic that jurists have always considered. Therefore, the issue of corporate governance has always been a matter of common concern to economists and jurists. Under this common concern, the study of corporate governance structure has a double dimension of standards. One is the standard of jurists - fairness and the second is the standard of economists - the efficiency.
