作者认为,我国急需组建国有产权运营机构。该机构应是介于政府和有国有资产投入的企业之间、经营政府授权范围内的国有产权并有较强经济实力的企业法人,其职能是按照国家产业政策,实现国有资产优化配置。在产权运营公司内部宜实行董事会制,公司董事应由非官员的企业家担任。对国有产权经营主要应采取伞形参股、控股的形式,形成母公司、子公司、关联公司层层参控股的组织体系。文章还论述了国有产权运营机构组建与运作的有关原则和具体途径。
The author believes that China urgently needs to set up a state-owned property rights operating organization. The agency should be between the government and state-owned assets invested enterprises, operating state-owned property within the authority of the government and have strong economic power of corporate legal person, its function is in accordance with national industrial policies, the optimal allocation of state-owned assets. In the property management company should implement the internal board of directors, directors should be non-official entrepreneurs. The state-owned property rights management should mainly take the form of umbrella participation and holding to form the organizational system of controlling shareholders of the parent company, subsidiaries and affiliates. The article also discusses the relevant principles and specific ways for the establishment and operation of state-owned property rights operating agencies.
