对于公司社会责任内部实现机制,主要从三个方面探讨,一是完善作为社会利益代表的独立董事制度。首先应缩短独立董事的任期,其次我国在人选上最好考虑高素质,专业性高,经验丰富的人员,最后设置专门的委员会以保持其独立性。二完善股东提案制度,通过股东提案制度来促进公司社会责任应该增加公益机构投资者的比重,完善公益机构投资制度设计,适当降低提案资格的股份份额要求,对于提案内容作出更详细具体的规定。三是完善职工参与制度。
As to the internal realization mechanism of corporate social responsibility, it mainly discusses from three aspects. First, it improves the independent director system which is the representative of social interests. First of all, the term of office of independent directors should be shortened. Secondly, it is better for our country to select high-caliber, highly specialized and experienced personnel as the best candidates. Finally, a special committee should be set up to maintain its independence. Second, improve shareholder proposal system, promote corporate social responsibility through shareholder proposal system should increase the proportion of public sector institutional investors, improve the institutional design of non-profit investment institutions, and appropriately reduce the share requirements of the proposal qualifications, to make more detailed and specific proposals for the content. Third, improve the employee participation system.
