在有关《证券法》修改的讨论如火如荼之际,我们看到了一本好书——《美国证券法》。 马克思曾经指出,发达国家给发展中国家指出的是他们未来的前景。那么,成熟市场的证券法经验,无疑也给我们提供了某种重建未来的框架。美国无疑是目前世界上证券市场、证券立法最为发达、成熟、完善的国家。证券市场要不要监管,在美国学界还有不同的观点,法学界争论最多的是监管实质性问题。本书的作者索德奎斯特坚定地认为,证券市场必须要有实质性管制。
As discussions on the revision of the Securities Law were in full swing, we saw a good book, the Securities Law of the United States. Marx once pointed out that the developed countries have pointed out to developing countries their future prospects. Well, the experience of securities law in mature markets undoubtedly also gives us some sort of framework for rebuilding the future. The United States is undoubtedly the most developed, mature and perfect country in the securities market in the world at present. Whether the securities market should be regulated or not, there are different views in the academic circles in the United States. The most controversial issue in the legal profession is the supervision of substantive issues. The author of the book, Soderquist, firmly believes that the securities market must have substantive controls.
