随着经济全球化的发展,我国的经济实力日渐雄厚,成为世界经济中的一支重要力量。在我国经济腾飞的诸多原因中,外国资本的注入是不可忽略的重要原因。外国资金的注入大多以投资和并购的形式展开。不可否认,外资并购在促进国内经济结构优化调整、引入先进的生产管理经验、促进企业出口等方面发挥着杠杆的作用,能够有效地弥补国内资金不足、技术落后、经验缺乏等诸多的不足,促进我国社会主义市场经济机制的形成。但是,外资并购并不是百利而无一害。在资金、技术流入的同时,潜在的市场外资垄断风险正在悄悄加大。为了保证国内的经济安全,国家有必要对外资并购采取法律上的措施,进行法制干预。因此,国家于2008年正式实施《反垄断法》。本文就结合《反垄断法》和其他的法律法规,来谈谈我国对于外资并购的反垄断法律法制。

However, foreign mergers and acquisitions are not harmful. In the meantime, the potential market monopoly risks of foreign capital are quietly increasing while funds and technology flow in. In order to ensure the domestic economic security, it is necessary for the state to take legal measures on foreign capital mergers and acquisitions and carry out legal intervention. Therefore, the state formally implemented the “Anti-monopoly Law” in 2008. This article will combine the “antitrust law” and other laws and regulations to talk about China’s antitrust legal system for foreign acquisitions.
