随着大量中国企业赴美国上市,与之相关的法律风险问题也逐渐暴露。当前,中国企业在美国上市的法律风险主要包括集团诉讼风险、证券违法违规处罚风险、退市风险、做空风险和中介机构欺诈风险。本文试从实务的角度对此进行了初步的研究,并提出了防范和化解这些风险的具体对策。 With a large number of Chinese enterprises going to the United States, the legal risk issues associated with them are gradually exposed. At present, the legal risks listed by Chinese enterprises in the United States mainly include litigation risk of group litigation, risk of securities irregularities and punishments, delisting risks, short risks and fraud risks of intermediaries. This paper tries to do a preliminary study from the perspective of practice, and puts forward specific countermeasures to prevent and resolve these risks.
