近年來,隨着中國市場環境改善、技術進步和人才素質提陞,越來越多的跨國公司在華設立研發機構,由此中國也參與到全球技術創新的進程中。跨國公司對於研發獲得的知識產權,往往有其全球性“中央集權”式安排,中國法律又有關於職務發明獎勵報酬的規定,其間可能存在一定的衝突並引發訴訟。近期,上海法院就一起涉及跨國公司與其員工之間的職務發明報酬糾紛作出終審判決,其中涉及如何確定發明完成地、如何看待“中央集權”知識產權管理模式、約定報酬是否有效等法律問題。本文結合該案,對上述問題進行解析。
In recent years, as China’s market environment improves, technological progress and the quality of its personnel improve, more and more multinational companies set up R & D institutions in China, thus China is also involved in the process of global technological innovation. MNCs often have their global “centralization” arrangements for intellectual property rights acquired through research and development, and there are provisions in Chinese law that reward remuneration for service inventions. In the meantime, there may be some conflicts and litigation. Recently, the Shanghai court made a final verdict on a dispute over the remuneration of inventions involving multinational corporations and their employees, including how to determine the completion of inventions, how to view the intellectual property management mode of “centralized power” and whether legal remuneration is valid and other legal issues . This article with the case, the above problems are analyzed.
