相比于欧美企业两权分离的董事会—经理人控制机制,中国私营企业则更多是以家庭或个人为单位的自然人控制机制,其中所有的控股股权、决策权都基于自然人控制而合并统一,换言之,我国民营企业在主体方面更独立、权力方面更集中、决策方面更自由,拥有着强烈的个人化特征。文中就将基于中国民营企业这种自然人控制的基础视角来简要探析企业在决策原理及其形成机制方面的实际构成过程,希望以更科学的角度更深层次了解我国民营企业的相关本质内涵。
Compared with the control mechanism of the board of trustees and managers in the separation of the two corporations’ rights in Europe and the United States, the private enterprises in China are more natural person control mechanisms based on family or individual. All of the controlling equity and decision-making power are merged and unified based on the control of natural persons. In other words, China’s private-owned enterprises are more independent in terms of their main bodies, more concentrated in power, more liberal in decision-making, and have strong personal characteristics. Based on the perspective of natural person control in private enterprises in China, this paper will briefly analyze the actual composition process of enterprises in terms of decision-making principle and its formation mechanism, hoping to get a deeper understanding of the relevant essence of private-owned enterprises in China from a more scientific perspective.
