随着中国经济的发展和国内竞争的加剧,一批制造业企业开始寻求国际扩张,跨国并购是实现国际化经营的一条捷径。跨国并购外资家电企业作为一种战略选择,不仅是我国家电企业扩展现有营销渠道、获取国际先进生产技术的一种可行方法,而且也是其提高国际竞争力,融入家电国际化生产的一种有效尝试。成功的跨国并购,不但可以使我国家电企业从本质上改变产品同质化严重的现象,还能够较为有效地绕过目标企业所在国的进入壁垒,从而扩大其产品的国际市场分额。本文将首先分析总结我国家电企业跨国并购的动因,之后分析我国家电企业跨国并购存在的问题,文章最后提出中国企业跨国并购应具备的条件和注意的问题。
With the development of China’s economy and the intensification of domestic competition, a batch of manufacturing enterprises began to seek international expansion and cross-border M & A was a shortcut to international operation. Transnational mergers and acquisitions of foreign-funded household electrical appliance enterprises as a strategic choice, not only is China’s household electrical appliance enterprises to expand existing marketing channels, access to international advanced production technology is a viable method, but also to improve its international competitiveness, internationalization of home appliances into an effective try. Successful cross-border mergers and acquisitions will not only make China’s home appliance enterprises essentially change the phenomenon of serious homogeneity of products, but also effectively bypass the entry barrier of the target country and expand the international market share of their products. This article will first analyze and summarize the motivations of China’s home appliance enterprises in cross-border mergers and acquisitions, and then analyze the problems of China’s home appliance enterprises in cross-border M & A. Finally, the paper puts forward the conditions and attention problems that Chinese enterprises need to pay attention to in cross-border M & A.
