家族企业治理具有区别于其他企业的独特性和复杂性,利益主体的多样化使得治理机制趋向权变性。家族作为影响治理机制的关键因素,在企业成长过程中对企业所有权和管理权的控制程度直接作用于家族企业治理机制的变革。家族的绝对控制难以适应于企业发展,家族治理模式亟需转型升级。本文从中国文化情境与家族企业特性出发,认为三类矛盾的存在使得家族企业治理转型需要一种折中方式,即基于泛家族主义对家族企业进行泛家族化管理。
Family business governance has its uniqueness and complexity different from those of other enterprises. The diversification of the interests makes the governance mechanism tend to be degeneration. As a key factor that affects the governance mechanism, the family control the ownership and management power of enterprises in the process of enterprise growth, which directly affects the transformation of the governance mechanism of family enterprises. The family’s absolute control is difficult to adapt to the development of enterprises, family governance mode needs transformation and upgrading. Based on the characteristics of Chinese cultural context and family business, this paper argues that the existence of the three types of contradictions requires a compromise in the transformation of family-owned enterprise governance, that is, pan-familial management of family-owned enterprises based on pan-familism.
