绍兴市汽运集团有限公司(简称“绍汽集团”)的改制经历了从传统计划经济体制下的交通运输国有企业到混合股份制运输集团的转变。最突出的特征是从“高度集权”的国有体制,建立起合理高效的治理结构。绍汽集团围绕着治理结构这一中心开展了一系列制度建设,这种整体剥离、员工持股、国家参股的基本模式已收到良好效果。其中最重要的启示是:企业改制的成功与否,关键在于形成什么样的治理结构,企业的经营管理活动都是围绕着如何治理这一核心问题展开的。
Shaoxing City Qiyun Group Co., Ltd. (“Shaogawa Group”) restructuring has gone from the traditional planned economy under the transport of state-owned enterprises to the mixed joint-stock transportation group changes. The most prominent feature is to establish a reasonable and efficient governance structure from the “highly centralized” state-owned system. Shaogawa Group has carried out a series of system construction around the center of the governance structure. The basic mode of overall divestiture, employee stock ownership and state share participation has received good results. The most important enlightenment is that the key to the success of enterprise restructuring is what kind of governance structure should be formed. The management activities of enterprises all focus on how to govern this core issue.
