近几年来,随着我国经济体制改革的深化和商品经济的发展,企业间的竞争加剧,而企业破产尚难推行的条件下,在重庆、保定、武汉等地相继出现了多种形式的企业兼并,实现产权或经营权由劣势企业向优势企业的转移。实践证明,企业兼并为解决亏损或频临倒闭企业的问题,为企业组织结构的调整开辟了一条新的途径。从重庆及其他一些大中城市企业兼并的实际情况看,我们认为主要有如下五个问题值得认真研究解决。第一、企业兼并应遵循的原则。1.自愿原则。企业兼并是企业的自我调整行为,而非行政的强制改组。因此,必须坚持自愿原则,不能搞“包办婚姻”、“拉郎配”。即使由政府主管部门决定,也必须事先征得企业的同意。2.互利原则。是指“优势互补”和承担义务两个条件。“优势互补”即优势企
In recent years, with the deepening of China’s economic system reform and the development of commodity economy, competition among enterprises has intensified, and under the condition that corporate bankruptcy is still difficult to implement, various forms of enterprises have emerged in Chongqing, Baoding, and Wuhan. Mergers and acquisitions, realizing the transfer of property rights or operating rights from disadvantaged companies to advantageous companies. Practice has proved that corporate mergers to solve the problem of loss or prosperous enterprises, opened up a new way for the organizational structure adjustment. From the actual situation of mergers and acquisitions in Chongqing and other large and medium-sized cities, we believe that the following five issues are worthy of serious study and solution. First, the principle that companies should follow when they merge. 1. The principle of voluntariness. Corporate mergers and acquisitions are self-adjusting behaviors of corporations rather than administrative reorganizations. Therefore, we must adhere to the principle of voluntariness, and we must not engage in “arranged marriages” or “Lang-Lang matching.” Even if it is decided by the competent government department, it must also obtain prior approval from the company. 2. The principle of mutual benefit. It means two conditions of “complementary advantages” and commitment. “Complementary Advantages” are Superior Enterprises
