鉴于实践对公司治理规律总结的迫切需求以及当前理论对公司治理制度变迁问题研究视角单一与研究方法亟待创新的现实,运用扎根理论,以国有企业内部监督制度演化为例,提炼出了影响公司治理制度变迁的驱动因素与约束条件,并据此构建了公司治理制度变迁的理论模型。研究认为,公司治理制度变迁的重要驱动因素就是利益相关者博弈,而初始禀赋、有限理性和共有信念则构成了制度变迁的约束条件。在此基础上,指出公司治理创新不会脱离既有的路径而完全趋同,强制性移植只有在该项制度功能上与现有的公司治理模式和法律传统相一致的情况下才可能有效;公司治理理论研究的重点应该关注何种制度安排更有利于创新,能够为企业在竞争性市场下的可持续性成长提供长期稳定的保证。
In view of the urgent need for practice to sum up the law of corporate governance and the fact that the current theory has a single perspective on the study of corporate governance system change and the research method needs to be innovated urgently, using the grounded theory, taking the evolution of the internal supervision system of state-owned enterprises as an example, refined the impact on corporate governance. The driving factors and constraint conditions of institutional change, and build a theoretical model of corporate governance system changes. The study believes that the important driver of corporate governance institutional change is the stakeholder game, while the initial endowment, bounded rationality, and shared belief constitute the constraints of institutional change. On this basis, it is pointed out that corporate governance innovation will not completely diverge from its existing path, and mandatory migration can only be effective if the system’s functions are consistent with existing corporate governance models and legal traditions; The focus of governance theory research should focus on what kind of institutional arrangements are more conducive to innovation, and can provide long-term, stable guarantees for companies’ sustainable growth under competitive markets.
